Terms of Service

1. Acceptance of Terms

By accessing or using the Stilltide platform ("Service"), operated by Luka Fagundes, doing business as Stilltide ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Stilltide provides AI-powered equipment evaluation reports for industrial machinery. Users upload photos and documents, and the Service generates reports containing equipment identification, technical specifications, market pricing estimates, and marketing descriptions.

3. AI-Generated Content Disclaimer

All evaluation reports, pricing estimates, specifications, and descriptions generated by the Service are produced by artificial intelligence and are provided for informational purposes only. They do not constitute professional appraisals, certified valuations, or expert opinions.

We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. Actual equipment values may differ based on condition, location, market conditions, and other factors. You should independently verify any information before making purchasing, selling, or business decisions.

4. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information during registration and to keep it current.

5. Subscriptions, Credits, and Billing

The Service operates on a subscription model. Your subscription includes a set number of evaluation credits per billing cycle. Each evaluation consumes one credit. Unused credits do not roll over between billing cycles.

New users may be eligible for a 7-day free trial. Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize recurring charges at the applicable rate for your plan.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods or unused credits.

If you delete your account, any active subscription will be canceled immediately. No refund will be issued for the remaining billing period, and any unused credits will be forfeited.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that is obscene, defamatory, or infringes on intellectual property rights
• Attempt to reverse-engineer, decompile, or extract the AI models or algorithms used by the Service
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials or allow unauthorized access to your account
• Use automated tools to scrape, crawl, or extract data from the Service

7. Intellectual Property

You retain ownership of all photos, documents, and other content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process that content for the purpose of generating your evaluation reports.

Evaluation reports generated by the Service are provided for your use. The Stilltide platform, including its design, features, and underlying technology, remains our intellectual property.

8. User-Submitted Issues and Feedback

The Service provides a system for submitting bug reports and feature requests. When you submit an issue or request, your name and email address are included in the submission and stored in our private issue tracking system on GitHub, accessible only to Stilltide. Your personal details are not displayed to other users of the Service.

The title and description of your submission may be visible to other authenticated users on the Issues page. Any files you attach to a submission are stored securely and are not accessible to other users.

You retain ownership of all content you submit through the issues system. By submitting, you grant us a license to use that content for the purpose of improving the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

10. Limitation of Liability

To the maximum extent permitted by law, Stilltide and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time through your account settings.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Assignment and Business Transfer

If Stilltide is acquired, merged with another company, or sells substantially all of its assets, your account and associated data may be transferred to the successor entity. The successor will be bound by these Terms with respect to your data. We will notify you of any such transfer via the email address associated with your account.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Humboldt County, California, and the parties consent to personal jurisdiction in those courts.
